Pay-When-Paid and Pay-If-Paid Clauses On Public Construction Projects
In this seminar, Mark Dimenna, Esq. of Offit Kurman, P.A. discusses the distinction between pay-when-paid and pay-if-paid clauses, and how these clauses impact a subcontractor’s right to prompt payment, as provided by the Little Miller Act, the Maryland’s Prompt Payment Statute, the Maryland Mechanic’s Lien Law, and on public construction projects. He will also discuss the rights a subcontractor might have when an Owner and Prime dispute entitlement to additional compensation for which the subcontractor furnished labor and materials.

Mark Dimenna is an attorney in Offit Kurman’s commercial litigation Practice Group. Mark is a trial attorney with extensive first-chair experience. Most recently, Mark worked for a local Baltimore firm handling matters involving construction litigation and business disputes. Prior to that, he worked approximately seven years in the litigation department of the City Solicitor’s office for Baltimore City. Mark practices construction law and has experience in government contracting and procurement law. Mark has handled significant cases in complicated construction delay and defect claims, particularly when they overlap with claims of errors and omissions by the design team.
