Dan Max is a principal in the firm’s Business Law and Transactions group.
Dan counsels clients on strategic transactions and other complex matters, including mergers, acquisitions, dispositions, financings, joint ventures and securities and corporate governance matters. Dan is experienced in planning, structuring, negotiating and executing on a wide range of M&A transactions, including asset, stock and merger transactions, taxable and tax-free transactions, management-led acquisitions, transactions involving business divisions and majority control acquisitions. Dan is equally experienced in representing emerging growth and technology companies engaged in raising capital, including equity and debt financings, SAFEs, Series Seed, other angel and venture capital financings, revolving and term credit facilities (whether senior or subordinated, secured or unsecured) and other recapitalizations and reorganizations.
Dan also regularly represents clients in general corporate and commercial matters, such as advising on choice of entity, capitalization, shareholder relations, corporate governance, employment, incentive plan, customer/supplier and other commercial and contractual matters.
Dan has experience advising clients in connection with commercial disputes and litigations, including indemnification claims and employee matters.
Dan has served as an acting or outsourced general counsel to several clients. His clients generally include private companies, buyers, sellers, boards of directors, management teams, executives and entrepreneurs, with a focus in the technology and government contracting industries.
