The Corporate Transparency Act is Coming

Effective January 1, 2024, the Corporate Transparency Act (CTA) has established uniform beneficial ownership information reporting requirements for most business entities formed, or registered to do business, in the United States. This includes corporations, limited liability companies, limited partnerships and other similar entities. These requirements apply not only to newly formed business entities but to any existing business entities unless specifically exempted.
All individuals who have a direct or indirect ownership in a business entity or have the power to control a business entity, and all involved in the formation or registration of such business entities will need to be familiar with the requirements of the CTA in order to ensure that they or their clients comply. The failure to file the beneficial ownership reports in a timely fashion can subject the senior officers of the business to civil and criminal penalties.

Michiel Bloemsma represents privately held companies, entrepreneurs, and investors in connection with general corporate and commercial transactions. He assists clients with the formation of business entities, including advice with respect to the choice of legal entity and drafting and negotiating of shareholders’, partnership and LLC agreements. Mr. Bloemsma assists clients with joint venture contracts, M&A deals, financing transactions, including loan and security agreements and investment contracts, and various other commercial transactions, such as sales and distributorship contracts and software licensing agreements.
