Offit Kurman Attorneys Close Tech Deal

Even in these days of economic uncertainty, on Tuesday March 31st, attorneys of Offit Kurman’s Mergers & Acquisitions Practice Group closed a transaction between two tech giants. Michael N. Mercurio represented GEOBRIDGE Corporation in its sale to German-based, Utimaco.

Since 1983, Utimaco has developed hardware-based, high-security appliances (Hardware Security Modules) and compliance solutions for telecommunication provider regulations (lawful interception and data retention). In the late 1990s, GEOBRIDGE established itself as one of the first system integrators for encryption methods, and key management providers for payment solutions. The acquisition will expand Utimaco’s key management portfolio for the financial industry. GEOBRIDGE’s employees and customers will be integrated into Utimaco’s Information Security business and solutions.

“GeoBridge and Utimaco have excellent business synergies and the parties worked hard, even with these difficult world times, to keep their collective goals insight,” said Michael Mercurio.
